By accessing or using the Services in any manner (whether automated or otherwise), you agree to be bound by:

  • Our Privacy Policy
  • Our Notice of Privacy Practices (HIPAA NPP)
If you do not agree to these Terms, you may not use the Services.
You represent that you are legally able to accept these Terms, and affirm that you are of legal age to form a binding contract.
We may update these Terms from time to time. If we do so, we will change the “Last Updated” date above and may provide additional notice as required by law. Changes will be effective when posted unless a later date is stated. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

1. Nature of Services; No Emergency Care

ReachLink provides access to mental- and behavioral-health telehealth services, coaching, wellness resources, educational content, and related tools through licensed clinicians and professional entities (the “Professional Entities”).
The Services are not appropriate for emergencies.
If you are experiencing a medical or mental-health emergency, or are in immediate danger:
  • Call 911 or 988, or
  • Go to the nearest emergency room
Do not use the Services to seek emergency care.

2. The Site Does Not Provide Medical Advice (Outside Clinical Sessions)

None of the general content on the Services (such as blog posts, FAQs, or educational materials) should be considered medical advice or relied upon as a substitute for professional medical advice, diagnosis, or treatment.
Always seek the advice of a physician or other qualified health provider with any questions you may have regarding a medical or mental-health condition. Never disregard professional medical advice or delay seeking it because of something you have read on the Services.
If you are in crisis or think you may harm yourself or others, call 988, 911, or go to the nearest emergency room immediately.

3. Behavioral Health Services & Professional Entities

Clinical services provided through the Services are delivered by independently owned professional entities and their licensed clinicians, including ReachLink Telebehavioral Health Services PA and other professional entities as applicable (collectively, the “Professional Entities”).
  • Florida ReachLink LLC is a management company. It does not practice clinical social work, psychology, psychiatry, or any other licensed profession.
  • Each licensed clinician is solely responsible for the clinical services they provide and for complying with the requirements of their profession and license.
  • Neither ReachLink, Florida ReachLink LLC, nor any third parties who promote the Services or provide you with a link to the Services shall be liable for any professional advice you obtain from a clinician via the Services.
Your reliance on any information provided by ReachLink, ReachLink employees, other users of the Services, or any third party accessible via the Services is solely at your own risk.

4. Privacy; HIPAA; COPPA

ReachLink takes the privacy of its users very seriously.
  • Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect personal information, including health information.
  • Your rights and our obligations under HIPAA are described in our separate Notice of Privacy Practices (NPP).
  • In the event of any conflict between these Terms and the NPP regarding Protected Health Information (PHI), the NPP will control.

Children’s Privacy (COPPA)

The Services are not directed to children under 13.
We do not knowingly collect or solicit personally identifiable information from children under 13. If you are under 13, do not register for the Services or send any personal information to us.
If we learn that we have collected personal information from a child under 13, we will delete it as quickly as possible. If you believe a child under 13 may have provided us personal information, please contact us at hello@reachlink.com.

5. Eligibility; Registration & Account Security

To use the Services, you must:
  • Be at least 18 years old
  • Be a resident of a jurisdiction in which ReachLink is authorized to provide services
  • Have the legal capacity to enter into these Terms
Certain features of the Services require you to create an account and provide registration information. You agree to:
  • Provide true, accurate, current, and complete information
  • Maintain and promptly update your information
  • Keep your login credentials confidential
  • Not share, sell, or transfer your account
You are responsible for all activity occurring under your account. ReachLink is not liable for any loss or damage arising from your failure to protect your password or account information.

6. Electronic Communications & Text Messages

By using the Services, you may receive communications from us, including:
  • Appointment reminders
  • Account notifications
  • Service updates
  • Marketing communications (where permitted by law and your preferences)
We may contact you via email, in-app messages, and SMS/text (with your consent where required). You can adjust certain communication preferences or opt out of marketing messages as described in our Privacy Policy.
For contractual purposes, you:
  • Consent to receive communications from us in electronic form, and
  • Agree that all terms, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications would satisfy if in writing
This does not waive any non-waivable rights you may have under applicable law regarding electronic marketing consent.

7. Ownership of Content & Intellectual Property

The Services, including all content, text, graphics, logos, images, software, and other materials, are owned by ReachLink, the Professional Entities, our licensors, or partners, and are protected by copyright, trademark, and other intellectual property laws.
You may use the Services and content for your personal, non-commercial use only. You may not:
  • Modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works from, exploit, or distribute any content from the Services
  • Use any robots, scraping tools, or automated means to access the Services for any purpose without our prior written consent
All rights not expressly granted are reserved by ReachLink and its licensors.

8. User Conduct & Prohibited Uses

You agree not to use the Services to:
  • Violate any law or regulation
  • Harass, threaten, or harm any person
  • Impersonate another person or entity
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any account or system
  • Upload viruses, malware, or other harmful code
We may suspend or terminate your access if we believe you are using the Services in violation of these Terms or applicable law.

9. Changes to the Services

We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuance.

10. Third-Party Links & Services

The Services may contain links to third-party websites or services. These links are provided for your convenience only. We do not control, endorse, or assume responsibility for any third-party sites, products, services, or privacy practices.
If you visit a third-party site, you do so at your own risk and should review that site’s terms of use and privacy policy.

11. Payments, Billing & Sponsors

Your use of certain Services may be subject to fees.
You agree to pay all fees associated with your use of the Services as described at the time of purchase or enrollment.

Sponsors (Employers, Insurers, etc.)

If your account is sponsored by an employer, insurer, benefits provider, or other entity (a “Sponsor”), some or all of the Services may be provided at a discount or no cost to you.
  • If your relationship with your Sponsor ends, or our arrangement with your Sponsor terminates, you may be required to pay our standard rates to continue using the Services.
  • You remain responsible for any copayments, deductibles, or uncovered costs where applicable.
Payment processing may be handled by third-party providers. We do not store full credit-card numbers on our servers.

12. Jurisdictional Issues

We control and operate the Services from facilities in the United States. Unless otherwise specified, the Services are intended for users located in the United States.
If you access the Services from outside the U.S., you are responsible for compliance with local laws to the extent they apply.

13. Disclaimer of Warranties

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
We do not warrant that:
  • The Services will be uninterrupted, secure, or error-free
  • Any defects will be corrected
  • Any content or information is accurate, complete, or reliable
These disclaimers apply to ReachLink, the Professional Entities, and all of their respective owners, officers, employees, contractors, and agents.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REACHLINK, THE PROFESSIONAL ENTITIES, AND THEIR RESPECTIVE OFFICERS, EMPLOYEES, DIRECTORS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, WARRANTY, STATUTE, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event will our total liability to you for all claims relating to the Services exceed the amount you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
Some jurisdictions do not allow certain limitations of liability; some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless ReachLink, the Professional Entities, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another person or entity

16. Binding Arbitration & Class Action Waiver

Purpose

Dispute” means any dispute, claim, or controversy between you and us (or any of our affiliates, including Florida ReachLink LLC and the Professional Entities) regarding your use of the Services or these Terms, whether based in contract, statute, regulation, tort, fraud, or any other legal theory. “Dispute” is to be given the broadest possible meaning that will be enforced.
If you have a Dispute that cannot be resolved informally, you and we agree to resolve the Dispute only through binding individual arbitration, except as noted below.

Notice of Dispute

You agree to negotiate in good faith for at least 60 days after we receive your Notice of Dispute. If the Dispute is not resolved within 60 days, either party may pursue arbitration.

Arbitration Procedure

Any Dispute arising under or related to these Terms will be resolved exclusively by final and binding arbitration in Boca Raton, Florida, under the rules of the American Arbitration Association (AAA), except that either party may:
  • Bring a claim for intellectual property rights, or
  • Seek temporary or preliminary injunctive relief in a court of competent jurisdiction

Class Action Waiver

ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, AND NOT IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. YOU AND WE EACH WAIVE ANY RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER.
If the Class Action Waiver is found unenforceable, this entire arbitration section will be unenforceable and the Dispute will be decided by a court.

17. Governing Law & Venue

These Terms and your relationship with us are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.
Any Dispute not subject to arbitration or small-claims court will be litigated exclusively in the state or federal courts located in Palm Beach County, Florida, or the Southern District of Florida. You and we consent to the personal jurisdiction of those courts and waive any objection to venue or forum.

18. Copyright Infringement (DMCA)

We respect the intellectual property rights of others. If you believe that materials appearing on the Services infringe your copyright, you may send a notice under the Digital Millennium Copyright Act (DMCA) to:

19. Miscellaneous

  • These Terms, together with the Privacy Policy, NPP, and any additional terms referenced herein, constitute the entire agreement between you and ReachLink regarding the Services.
  • You may not assign these Terms without our prior written consent. We may assign these Terms without your consent.
  • If any provision of these Terms is found unlawful or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
  • Any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it is permanently barred.
ReachLink is the brand name used for products and services provided by one or more professional services entities, including ReachLink Telebehavioral Health Services PA, which is managed by or affiliated with Florida ReachLink LLC, a management company.
